While we use all reasonable skill and care in delivering our Services, logistics and freight forwarding involve factors beyond our direct control, including carrier schedules, port congestion, weather events, customs authority decisions, and government regulations. We do not guarantee specific transit times, delivery dates, or outcomes unless expressly agreed in a written service contract.
Quotes provided through our Website or Platform are indicative and subject to change. A binding commitment is formed only upon issuance of a written confirmation by an authorised Greenroad Kenya representative. Rates are subject to revision due to carrier surcharges, fuel adjustments, currency fluctuations, or regulatory changes without prior notice.
You are responsible for providing accurate and complete cargo information, consignee/shipper details, and any documentation required for import, export, or transit. You bear sole liability for any fines, penalties, storage charges, or delays arising from inaccurate or incomplete information provided by you.
Greenroad Kenya may engage sub-contractors, agents, or carriers in the performance of our Services. Our standard trading conditions and the applicable carrier's terms of carriage shall apply to sub-contracted portions of any services.
Fees for our freight and logistics services are set out in the applicable quotation, invoice, or service agreement. All fees are exclusive of applicable taxes (including VAT) unless otherwise stated.
Unless otherwise agreed in writing, invoices are due and payable within the credit terms specified on the invoice. Greenroad Kenya reserves the right to require advance payment or a security deposit for new clients or high-value shipments.
Overdue amounts shall attract interest at the rate prescribed under the applicable Kenyan law, or such other rate as agreed in the service contract, calculated from the due date until the date of actual payment. We reserve the right to suspend Services for accounts with outstanding overdue balances.
If you believe an invoice is incorrect, you must notify us in writing within fourteen (14) days of the invoice date. Undisputed amounts must be paid by the due date regardless of any disputed portion.
Greenroad Kenya reserves the right to exercise a general lien over any goods, documents, or property in our possession or control pending payment of all outstanding amounts owed to us by you.

Greenroad Kenya shall not be liable for any failure or delay in performance to the extent caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, strikes, epidemics, port closures, government actions, or infrastructure failures.
You agree to defend, indemnify, and hold harmless Greenroad Kenya Limited and its directors, officers, employees, agents, affiliates, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at info@greenroadkenya.com. We will endeavour to resolve disputes informally within thirty (30) days of receiving written notice of the issue.
If informal resolution is unsuccessful, disputes shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya. Both parties irrevocably submit to the personal jurisdiction of those courts.
Notwithstanding the above, either party may elect to resolve any dispute through binding arbitration in Nairobi, Kenya, administered under the rules of the Nairobi Centre for International Arbitration (NCIA) or such other arbitral body as the parties may agree. The language of arbitration shall be English.
To the extent permitted by applicable law, you waive any right to bring claims against Greenroad Kenya as a plaintiff or class member in any purported class, collective, or representative action.
